These Terms of Use (“Terms”) govern your access to and use of the Hadero AI website, services, software and APIs (collectively referred to as “Services”).

By visiting our website or using our Services, you agree to be bound by these Terms and all applicable laws.

(i) Hadero AI provides artificial intelligence–powered solutions for businesses seeking to automate data analysis, document understanding, audio and video transcription and related operations.

(ii) Our technologies are designed to operate securely; in the cloud, on your premises, or in hybrid environments; giving you full control over how your data is processed.

  1. Eligibility

(i) By using Hadero AI’s Services, you confirm that you:

  • Are at least 18 years old or have reached the legal age of majority in your jurisdiction;
  • Have the authority to accept these Terms on behalf of yourself or your organization;
  • Will use our Services only in compliance with all applicable laws and regulations.
  1. Use of Services

(i) You may use Hadero AI Services only for lawful business purposes and in accordance with these Terms and our Acceptable Use Policy.

(ii) You are responsible for maintaining the confidentiality of any API keys, passwords, or access credentials associated with your account.

(iii) You agree not to:

  • Reverse-engineer, copy, or modify any part of our software or AI models;
  • Circumvent authentication or usage limits;
  • Use the Services to process or distribute illegal content;
  • Interfere with the operation, security, or availability of Hadero AI systems.
  1. Data Privacy and Security

(i) Your use of our Services is also governed by our Privacy Policy.

(ii) Hadero AI processes data in accordance with international privacy standards, including GDPR (EU), UK GDPR, CCPA (US) and PIPEDA (Canada).

(iii) For locally deployed (on-premises) systems, all data remains under your control; Hadero AI does not access, transmit, or retain any processed information.

  1. Intellectual Property

(i) All intellectual property rights in Hadero AI’s website, logos, content, software, AI models, documentation and materials belong exclusively to Hadero AI or its licensors.

(ii) You may not copy, reproduce, or create derivative works based on any part of our Services without written permission.

(iii) You retain ownership of all data and content you input into the system. By submitting it for processing, you grant Hadero AI a limited, revocable right to process it solely for the purpose of delivering Services to you.

  1. Subscriptions, Billing and Payments

(i) Certain Services may require a subscription or payment.

  • Payments are processed securely through Stripe, compliant with PCI DSS standards.
  • Fees, terms and renewal conditions are displayed during signup or in your account portal.
  • All fees are non-refundable unless required by law or specifically stated in a service agreement.
  • Hadero AI reserves the right to modify pricing or features with reasonable notice.
  1. Service Availability and Updates

(i) We strive to keep our Services secure and available at all times.

(ii) However, Hadero AI does not guarantee uninterrupted operation and may temporarily suspend access for maintenance, security upgrades, or technical issues.

(iii) We may also release updates, enhancements, or patches periodically to improve performance or ensure compliance.

(iv) For on-premises deployments, users are responsible for applying released updates in accordance with documentation.

(i) Hadero AI provides its Services “as is” and “as available” without warranties of any kind, whether express or implied.
(ii) We do not guarantee that:

  • The Services will be error-free, secure, or continuously available;
  • AI-generated results will be perfectly accurate or suitable for all decision-making;
  • Outputs will meet any specific legal or compliance obligations of the user.

(iii) All AI outputs should be interpreted and validated by qualified human users before being acted upon.

  1. Limitation of Liability

(i) To the fullest extent permitted by law, Hadero AI and its affiliates, officers, employees and partners shall not be liable for:

  • Any indirect, incidental, or consequential damages arising from your use of our Services;
  • Any loss of data, profits, goodwill, or business opportunities;
  • Any issues resulting from customer-managed on-premises deployments, third-party integrations, or misuse of Services.

(ii) Our total cumulative liability in connection with the Services shall not exceed the total fees paid by you during the six months preceding the event giving rise to the claim.

  1. Compliance and Risk Responsibility

(i) Hadero AI aligns with global standards such as the EU AI Act (2024) and ISO 27001 for secure and transparent AI deployment.

(ii) However, responsibility for the lawful and ethical use of AI outputs rests with the user or deploying organization.

(iii) Users must ensure compliance with applicable privacy, consumer protection and data governance laws within their jurisdictions.

  1. Termination

(i) Hadero AI may suspend or terminate your access immediately if:

  • You violate these Terms or any applicable policy;
  • Your use of Services poses a risk to system security or other users;
  • Required payments are not made.

(ii) Upon termination, your right to use the Services ends immediately. Certain obligations; such as confidentiality, ownership and limitation of liability; shall survive termination.

  1. Changes to These Terms

(i) We may update these Terms periodically to reflect changes in technology, regulation, or business practices.

(ii) The latest version will always be available on this page with an updated “Last Updated” date.

(iii) Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

  1. Governing Law and Dispute Resolution

(i) These Terms are governed by the laws of the jurisdiction in which Hadero AI is registered, without regard to conflict-of-law principles.

(ii) Any disputes arising under or in connection with these Terms shall be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to arbitration or a competent court in that jurisdiction.
